Terms of Service

These Terms of Service ("Terms") govern access to the Perfloop website at perfloop.ai (the "Site") and the Perfloop product and services (the "Service"). Perfloop is a product of Commonplane, Inc. ("Commonplane," "we," "us").

By accessing or using the Site or Service, you agree to these Terms. If you do not agree, do not use the Site or Service.

If you or your company signs a separate agreement with Commonplane, such as an order form, master services agreement, data processing addendum, or statement of work, that signed agreement controls where it conflicts with these Terms.

If you use the Service for an organization, you represent that you have authority to accept these Terms for that organization.

Using Perfloop

You may use the Site and Service only for lawful business purposes and in accordance with these Terms and any applicable agreement. You are responsible for the accuracy of information you provide, for your account activity, and for keeping your credentials secure.

You may connect or submit only systems, code, and data that you are authorized to use and to permit Commonplane to process through the Service.

You may not misuse the Site or Service, attempt to bypass security controls, interfere with service operation, probe systems without authorization, upload malicious code, or use Perfloop to violate another party's rights.

Accounts and access

Access to the Service may require an invitation, authenticated account, or approved integration. We may suspend or restrict access when needed to protect the Service, other customers, or Commonplane. You must promptly notify us if you believe account credentials or integration credentials have been compromised.

Customer data

Customer source code, telemetry, configuration, and other materials remain the customer's data. Commonplane processes customer data only as needed to provide, secure, support, maintain, and diagnose the Service, subject to the applicable customer agreement and our Privacy Policy.

We may improve the Service using operational data and feedback. We do not use customer code or telemetry to train AI models or make customer data available to other customers.

Review of proposed changes

The Service can produce proposed code changes, test results, and other technical output. You are responsible for reviewing and testing that output before you merge, deploy, or rely on it. You decide whether any change is merged or deployed.

Confidentiality

Commonplane uses reasonable administrative, technical, and physical safeguards for non-public customer data and uses that data only as described in these Terms, the Privacy Policy, and any signed agreement. A signed agreement controls any additional confidentiality terms.

Feedback

If you send feedback, suggestions, or ideas, you grant Commonplane permission to use them without restriction or compensation. This does not transfer ownership of your confidential information or customer data.

Intellectual property

Commonplane and its licensors retain all rights in the Site, Service, software, design, documentation, and brand materials. These Terms do not grant you a license to use Commonplane or Perfloop trademarks except as needed to identify the Service.

You keep ownership of customer data and of changes to customer source code that the Service creates for you, subject to existing rights in the Service and in third-party materials.

Third-party services

The Service may connect to third-party systems that you authorize, such as source-control, cloud, authentication, telemetry, and communication providers. Your use of those systems remains governed by their terms. Commonplane is not responsible for third-party services outside our control.

Fees

Fees, included use, payment dates, taxes, and renewal terms for paid access are stated in the applicable order form or other signed agreement. We will not charge fees that are not stated in that agreement. Fees are non-refundable except where required by law or stated in a signed agreement.

Availability and changes

We work to keep the Service reliable and secure, but we do not guarantee uninterrupted availability. We may modify the Site or Service as the product evolves, provided that customer-specific commitments in signed agreements continue to apply.

Disclaimers

Except as expressly stated in a signed agreement, the Site and Service are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Commonplane will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from or related to the Site or Service. Any liability cap in a signed agreement controls for that customer relationship.

Except for liability that cannot be limited by law, Commonplane's total liability arising from or related to the Site or Service under these Terms will not exceed the greater of (a) the amount you paid for the Service during the 12 months before the event giving rise to the claim or (b) $100.

Termination

You may stop using the Site or Service at any time. We may suspend or terminate access if you breach these Terms, create security risk, or use the Service unlawfully. Customer data export, deletion, and retention are handled under the applicable customer agreement and privacy commitments.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, unless a signed agreement states otherwise.

Changes to these Terms

We may update these Terms from time to time. The updated Terms will be posted with a new "last updated" date. Continued use of the Site or Service after the updated Terms become effective means you accept the updated Terms.
